Evergen is committed to conducting business with the highest standards of integrity and ethical behavior. This Supplier Code of Conduct outlines the minimum expectations for all suppliers (“Suppliers”) doing business with Evergen. Suppliers must meet these standards in their own operations and throughout their supply chain.
Suppliers must comply with all applicable local, national and international laws and regulations. Suppliers must adhere to laws and regulations covering medical devices and related products, in accordance with applicable industry standards and codes, such as those issued by AdvaMed.
Suppliers involved in the manufacturing, packaging, labeling, storage, or distribution of regulated products must also comply with applicable Good Manufacturing Practices (GMP) or equivalent quality system requirements.
Suppliers must comply with all applicable trade, export,and sanctions laws and regulations, including those governing the transfer of goods, services, technology, and data across borders. Suppliers must not engage in transactions with any individual, entity, or country that is subject to applicable trade sanctions, embargoes, or restricted party lists. Suppliers are responsible for ensuring that their operations, products, and supply chains remain in full compliance with these legal requirements.
Evergen values respectful, collaborative relationships and recognizes the importance of fostering workplaces where individuals are treated fairly and with dignity. Suppliers must ensure that all labor is voluntary. Suppliers must not use any form of forced, bonded, indentured, or prison labor. Workers must remain free to leave their employment upon reasonable notice, and Suppliers must not support any form of human trafficking. Suppliers must treat all workers fairly and with dignity and respect, providing a workplace free from abuse, harassment, coercion, or any form of inhumane treatment. Employment decisions must be based on merit,qualifications, and business needs. Discrimination in hiring, compensation, promotion, training, or any other employment practice based on characteristics protected by applicable laws is strictly prohibited.
Suppliers must maintain a reliable system to verify that all workers are legally authorized to work and meet the minimum age requirements under applicable laws. This includes verifying the legal status of foreign workers. Suppliers must also maintain accurate and up-to-date records to demonstrate compliance with all worker eligibility requirements.
Suppliers must provide a safe, healthy and sanitary working environment. They are responsible for identifying and mitigating workplace hazards and ensuring compliance with all applicable occupational health and safety regulations. All facilities must meet relevant building codes and industry construction standards to ensure structural safety. Suppliers must implement procedures to respond effectively to emergencies and workplace incidents and take proactive steps to prevent work-related accidents and injuries.
Suppliers must operate in an environmentally responsible and sustainable manner. They must comply with all environmental laws and regulations, manage waste, emissions, and hazardous materials responsibly, and work to reduce environmental impact and promote sustainability.
Suppliers involved in activities involving animals must comply with applicable animal welfare laws and ethical standards. Suppliers must treat animals humanely and ensure that any use of animals is scientifically justified and conducted with appropriate care.
Suppliers must maintain appropriate risk management and business continuity plans to ensure their ability to deliver goods and services to Evergen without significant interruption. These plans should address potential disruptions such as natural disasters, pandemics, cyber incidents, geopolitical instability, and other events that could impact operational capacity. Upon request, Suppliers must be prepared to confirm that such plan sexist and are regularly reviewed and tested.
Suppliers must always conduct business ethically, honestly, and transparently. They must not engage in bribery, corruption, embezzlement, fraud, or any other form of unethical or illegal conduct.Suppliers are strictly prohibited from offering or providing cash, gifts, favors, or entertainment to Evergen employees or representatives that could influence, or appear to influence, business decisions or create a conflict of interest. All business interactions must be based on transparency and fair dealing. Suppliers must also avoid actual or perceived conflicts of interest when conducting business with Evergen. Any situation that may appear to improperly influence a decision or compromise professional judgment must be disclosed. Suppliers are expected to implement and maintain policies and controls that promote ethical conduct and prevent improper payments or other violations of applicable laws and regulations.
Suppliers must protect personal data and confidential information. They must comply with applicable data privacy laws and ensure appropriate safeguards are in place when handling sensitive information.
Evergen may assess Supplier compliance with this Supplier Code of Conduct and expects full cooperation during such reviews. If a Supplier fails to meet these standards, we reserve the right to take appropriate corrective action, up to and including termination of the business relationship.
